Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you and FildSee AI (“FildSee AI,” “we,” “us,” or “our”).

These Terms govern your access to the FildSee AI mobile application, website, APIs, integrations, AI-processing features and related services collectively referred to as the “Service.”

By creating an account, accessing or using the Service, you agree to these Terms.

1. Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you use the Service for a company or other organization, you represent that you have authority to accept these Terms on its behalf. In that case, “you” includes that organization.

The Service is intended primarily for business and professional use.

2. The Service

FildSee AI may allow authorized users to:

  • Record videos and audio
  • Import media from a device or file service
  • Upload files while online or after reconnecting
  • Store original content in connected cloud-storage accounts
  • Generate transcripts and AI-assisted analysis
  • Extract summaries, observations and action items
  • Create evidence frames and timestamp links
  • Search previously processed content
  • Play and share authorized recordings
  • Export reports
  • Connect with supported third-party platforms

Features may differ by plan, device, country or release stage.

We may improve, modify, add or remove features. We will provide reasonable notice if a material change substantially reduces paid core functionality.

3. Accounts and organization administrators

You must provide accurate account information and keep it current.

You are responsible for:

  • Protecting account credentials
  • Maintaining appropriate device security
  • Controlling who may use your account
  • Activities performed through your account
  • Notifying us promptly of unauthorized access

Organization administrators may invite or remove users, assign permissions, access Customer Content, manage integrations and control account settings.

If you join an organization account, that organization may control your use of the Service and the content associated with your account.

4. Customer Content

“Customer Content” means videos, audio, photographs, documents, project information, transcripts, comments, AI results and other content submitted to or generated through the Service for you.

As between you and FildSee AI, you retain ownership of Customer Content.

You grant FildSee AI a limited, non-exclusive, worldwide license to host, copy, transmit, process, modify and display Customer Content only as reasonably necessary to:

  • Provide the Service
  • Complete authorized AI processing
  • Maintain security and reliability
  • Provide support
  • Comply with law
  • Follow your instructions

This license ends when the Customer Content is deleted from our systems, subject to reasonable backup retention and legal obligations.

You represent that you have the rights and permissions necessary to submit Customer Content and permit its processing under these Terms.

5. Recording and consent obligations

You are solely responsible for determining whether recording is permitted at a particular location.

Before recording or uploading content, you must:

  • Obtain all legally required permissions and consents
  • Provide required notices
  • Follow workplace, privacy, surveillance and wiretapping laws
  • Respect client confidentiality
  • Comply with site rules and safety requirements
  • Avoid recording areas where recording is prohibited
  • Avoid capturing unnecessary sensitive information

You must not use FildSee AI to secretly or unlawfully monitor individuals.

We do not provide legal advice about whether a recording is lawful.

6. Connected services

You may connect FildSee AI to Google Drive, Microsoft OneDrive or other third-party platforms.

You authorize FildSee AI to access and act on connected services only as necessary to perform the features you select.

Your use of a connected service remains subject to that provider’s terms, policies, permissions, quotas and availability.

You are responsible for:

  • Selecting the correct account and folder
  • Configuring sharing permissions
  • Maintaining sufficient storage capacity
  • Preserving any required backup
  • Revoking access when appropriate

FildSee AI is not responsible for loss, deletion, restriction or unavailability caused by a third-party service or your configuration of that service.

Third-party names and trademarks belong to their respective owners. An integration does not imply endorsement or partnership.

7. Artificial intelligence features

The Service uses automated systems that may generate transcripts, summaries, classifications, observations, action items and other outputs.

AI-generated results may:

  • Contain errors
  • Omit important information
  • Misidentify objects or speakers
  • Misinterpret technical statements
  • Produce unsupported conclusions
  • Differ when content is processed again

You must review AI-generated results against the original recording before relying on or sharing them.

AI results are not a substitute for professional judgment, site inspection, engineering, legal review, safety assessment, regulatory advice or code-compliance verification.

You must not rely exclusively on AI output to make decisions that could materially affect a person’s employment, safety, legal rights, eligibility or access to essential services.

FildSee AI does not guarantee that AI output will be accurate, complete or suitable for a particular purpose.

8. Acceptable use

You may not use the Service to:

  • Violate any law or regulation
  • Record individuals without legally required permission
  • Infringe intellectual-property, privacy or publicity rights
  • Upload malware or harmful code
  • Access another person’s account or files without authorization
  • Circumvent security or usage restrictions
  • Reverse engineer or attempt to extract underlying models or source code, except where law expressly permits it
  • Resell the Service without written authorization
  • Build a competing model using outputs or technical access from the Service
  • Conduct unlawful surveillance
  • Facilitate discrimination or harassment
  • Generate deceptive evidence
  • Falsify project records
  • Make automated safety, employment, insurance, credit, legal or medical decisions about individuals
  • Use the Service in a manner that disrupts or overloads our infrastructure
  • Upload content that is unlawful, exploitative or intentionally harmful

We may investigate suspected violations and suspend access where reasonably necessary to protect users, third parties or the Service.

9. Subscriptions and usage limits

Certain features require a paid subscription.

Plans may include limits relating to:

  • Users
  • Processed video hours
  • File sizes
  • Recording duration
  • Projects
  • Integrations
  • Storage or temporary processing
  • Search and AI usage
  • API or MCP access

Current plan details appear on our pricing page or order form.

Usage limits do not necessarily reset when content is deleted. Additional usage may require an overage payment or plan upgrade.

We may implement reasonable technical limits to prevent abuse and maintain service quality.

10. Fees, billing and renewal

You agree to pay all fees shown at purchase.

Unless otherwise stated:

  • Subscription fees are charged in advance
  • Subscriptions renew automatically
  • Monthly plans renew each month
  • Annual plans renew each year
  • Usage and overage charges may be billed after they occur
  • Fees exclude applicable taxes
  • You are responsible for authorized taxes, duties and charges

Payments may be processed by Stripe, Apple or another payment provider.

You authorize the applicable provider to charge your selected payment method for recurring fees, usage charges and taxes.

We may change prices by providing notice before the change applies to your next renewal period.

11. Trials and promotional access

Trials, beta plans and promotional offers may have additional limitations.

Unless stated otherwise:

  • One trial is permitted per customer
  • Trial features may be modified or discontinued
  • Trial data may be deleted after the trial ends
  • A payment method may be charged when the trial converts to a paid subscription if this was disclosed during signup

Promotional pricing may expire at the end of the stated promotional period.

12. Cancellation and refunds

You may cancel through the applicable billing portal or by contacting support@fildsee.com.

Cancellation takes effect at the end of the current paid period unless otherwise stated.

Except where required by law or expressly stated in an order form:

  • Fees are non-refundable
  • Partial subscription periods are not refunded
  • Unused processing allowances have no cash value
  • Unused allowances do not automatically roll over

Purchases made through Apple are subject to Apple’s applicable payment and refund processes.

13. Intellectual property

Except for Customer Content, FildSee AI and its licensors own all rights in the Service, including:

  • Software
  • Interfaces
  • Designs
  • Documentation
  • Branding
  • Models and workflows
  • Search and processing systems
  • Aggregate service improvements

These Terms provide a limited right to use the Service. They do not transfer ownership of our intellectual property.

You may not use the FildSee AI name, trademarks or logos without written permission.

14. Feedback

If you provide suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation.

This section does not transfer ownership of Customer Content.

15. Privacy

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms.

Where FildSee AI processes personal information on behalf of an organization, the parties may enter into a separate Data Processing Agreement.

16. Confidentiality

Each party may receive non-public information identified as confidential or that should reasonably be understood as confidential.

The receiving party will:

  • Use confidential information only for the agreed purpose
  • Protect it using reasonable care
  • Disclose it only to people who need access and are bound by appropriate obligations

Confidential information does not include information that is publicly available without breach, independently developed, rightfully received from another source or already lawfully known.

Disclosure required by law is permitted after reasonable notice where legally allowed.

17. Service availability and beta features

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free availability.

Uploads and processing may be delayed by:

  • Network conditions
  • Mobile operating-system restrictions
  • Third-party API limits
  • Storage-provider outages
  • File corruption
  • Unsupported formats
  • Maintenance
  • Events outside our reasonable control

Features identified as beta, preview or experimental may be incomplete, changed or discontinued without notice. Beta features should not be used for critical workflows without independent safeguards.

18. Suspension and termination

You may stop using the Service at any time.

We may suspend or terminate access if:

  • You materially breach these Terms
  • Fees remain unpaid
  • Your use creates a security or legal risk
  • We reasonably suspect fraud or unlawful activity
  • A third-party provider requires suspension
  • Continuing the Service becomes unlawful

Where practicable, we will provide notice and an opportunity to correct the issue.

Upon termination:

  • Your right to use the Service ends
  • Outstanding fees remain payable
  • You should export required data promptly
  • Connected storage files remain subject to the connected provider’s controls
  • FildSee AI-hosted content may be deleted after 30 days
  • Backup copies may remain temporarily under our retention procedures

Sections that by their nature should survive termination will remain effective.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

FILDSEE AI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
  • UPLOADS WILL ALWAYS SUCCEED
  • CUSTOMER CONTENT WILL NEVER BE LOST
  • AI OUTPUT WILL BE ACCURATE OR COMPLETE
  • THE SERVICE WILL MEET EVERY LEGAL, REGULATORY OR INDUSTRY REQUIREMENT
  • THIRD-PARTY SERVICES WILL REMAIN AVAILABLE

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILDSEE AI’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO FILDSEE AI DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • USD $100

These limitations do not apply where liability cannot legally be limited, including any exclusions required under applicable consumer law.

21. Indemnification

To the extent permitted by law, you will defend and indemnify FildSee AI and its affiliates, officers, employees and contractors against third-party claims arising from:

  • Customer Content
  • Your unlawful recording or surveillance
  • Your violation of another person’s rights
  • Your misuse of AI-generated output
  • Your breach of these Terms
  • Your violation of law

This obligation will not apply to the extent a claim was caused by FildSee AI’s own unlawful conduct.

22. Governing law and disputes

These Terms are governed by applicable law, excluding conflict-of-law principles.

Disputes will be resolved by the competent courts, unless applicable law requires otherwise.

Before filing a formal claim, each party agrees to attempt to resolve the dispute by contacting the other party and allowing at least 30 days for an informal resolution.

23. Apple-specific terms

If you downloaded the application through Apple’s App Store:

  • These Terms are between you and FildSee AI, not Apple.
  • Apple is not responsible for providing the Service or support.
  • Apple has no obligation to provide maintenance services.
  • Apple is not responsible for claims relating to the Service, except as required by law.
  • You must comply with applicable App Store terms and third-party service terms.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions against you.

If these Terms conflict with mandatory App Store requirements, those requirements control to the extent of the conflict.

24. Export controls

You may not use or access the Service in violation of applicable export-control, sanctions or trade laws.

You represent that you are not prohibited from receiving the Service under applicable law.

25. Changes to these Terms

We may update these Terms periodically.

We will provide notice of material changes where required. Unless otherwise stated, revised Terms take effect on the stated effective date.

Continued use after the effective date constitutes acceptance where permitted by law.

If you do not agree to a material change, you may stop using the Service and cancel your subscription.

26. General provisions

These Terms and any applicable order form constitute the entire agreement concerning the Service.

If a provision is unenforceable, the remaining provisions remain effective.

Failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, corporate reorganization or sale of assets.

No partnership, agency, employment or joint venture is created by these Terms.
